These General Terms and conditions regarding the Learning Lodge Navigator (Terms and Conditions) consist of the following sections:

I. TERMS AND CONDITIONS OF INSTALLATION AND USE
I.1. Learning Lodge Navigator
1. The Learning Lodge Navigator enables you to download free and/or payable digital software programs owned by VTech or its licensors, including but not limited to e-books, games and award certificates (“VTech Software”) via the Internet from a VTech-designated server (“Server”) on a designated Personal Computer or Mac® from which the VTech Software can be uploaded onto a VTech Software compatible hardware product (“VTech Hardware Product”). In order to download VTech Software it may be necessary to download additional software applications offered and provided through the Learning Lodge Navigator first and it may require you to accept additional terms which will be presented to you before you can use these additional software applications. When the term “Learning Lodge Navigator” is used in the Terms and Conditions it also refers to other software applications, VTech Software and content made available through Learning Lodge Navigator.
I.2. Applicability and acceptance
1. The following specifies the Terms and Conditions on which VTech Electronics Europe PLC (registered company number 02178243) Napier Court, Abingdon Science Park, Abingdon, Oxfordshire, OX14 3YT (“VTech”) offers you to install and use the Learning Lodge Navigator. Please read the Terms and Conditions carefully before installing and using the Learning Lodge Navigator on your computer.
2. Installation and use of the Learning Lodge Navigator on your computer will only be possible after your acceptance of the Terms and Conditions. You can only accept the Terms an Conditions, of which the below stated privacy statement of VTech (“Privacy Statement”) forms an integral part, by clicking the button: “I Agree”. If you do not accept the Terms and Conditions in whole, you are not allowed to install and use the Learning Lodge Navigator. In that case you are kindly but firmly requested to click on the button: “Cancel”, as installation and use of the Learning Lodge Navigator shall imply your acceptance of these Terms and Conditions.
3. VTech may revise the Terms and Conditions from time to time with or without notice to you. The revised terms and conditions, shall take effect immediately when they are posted within the Learning Lodge Navigator. You are responsible for reviewing regularly information posted within the Learning Lodge Navigator to obtain timely notice of such changes. Your use of the Learning Lodge Navigator following the posting of any changes to the Terms and Conditions, shall constitute your acceptance of those changes.
I.3. License
1. VTech grants to you a non-exclusive, non-sub licensable, non-transferable and perpetual license to install one copy of the Learning Lodge Navigator for non-commercial use on a designated Personal Computer or Mac®. You acknowledge that you shall acquire no rights to the Learning Lodge Navigator other than the license in accordance with the Terms and Conditions. The Learning Lodge Navigator may only be used to reproduce the VTech Software or other content and software applications you are authorized or legally permitted to reproduce. The Learning Lodge Navigator is licensed, not sold, to you only for that purpose.
2. In order to use the Learning Lodge Navigator you must register a VTech Hardware Product and have Internet access, which you shall be responsible for the Internet connecting fee. There are different versions of Learning Lodge Navigator for different countries. The version of Learning Lodge Navigator you are licensed to use will depend on the country where you bought your VTech Hardware Product.
I.4. Limited Warranty
1. VTech warrants to you that the Learning Lodge Navigator downloaded on your Personal Computer that adheres to the minimum technical requirements specified on the website www.vtechkids.com/download/UK is of satisfactory quality and fit for its purpose, and shall work as designed for a period of ninety (90) days from the date of installation and VTech will correct any defect and provide updates as soon as commercially feasible (the "Warranty Period").
- Subject to section I.5. (Limitation of Liability), VTech shall have no liability for any damage, loss, expense or detriment caused, whether directly or indirectly, by a defect under the Learning Lodge Navigator or arising in respect of your use of the Learning Lodge Navigator in contravention of VTech's instructions.
- If within the Warranty Period, you notify VTech in writing of any defect or fault in the Learning Lodge Navigator, which does not arise from use in contravention of these Terms and Conditions, VTech shall, at its sole option, either repair or replace the VTech Software, provided that you make available such information and assistance as VTech may reasonably require.
I.5. Registration, Accounts and Passwords
If you create an account in the Learning Lodge Navigator, you agree to be responsible for: maintaining the confidentiality of passwords or other account identifiers which you choose and all activities that occur under such password or account identifiers. You agree to promptly notify VTech of any unauthorized use of your password or account identifiers. Subject to section I.10. of these Terms and Conditions, VTech will not be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred by you to the extent that it is as a result of, or in connection with, your failure to comply with this section of the Terms and Conditions.
I.6. Upgrades
1. VTech may provide upgrades to your VTech Hardware Product through the Learning Lodge Navigator from time to time without any prior written notice. You should read and precisely follow the instructions before initiating an upgrade. The process shall be done in an environment with a steady power supply. If the upgrade process is interrupted, your VTech Hardware Product may not function properly. VTech will not be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with, your failure to comply with this section of the Terms and Conditions.
2. VTech may upgrade the Learning Lodge Navigator from time to time and such upgraded changes will be automatically provided to you the next time you connect your designated Personal Computer or Mac® to the Internet. Unless explicitly stated otherwise, any new or additional features that augment or enhance the current Learning Lodge Navigator, including the release of new products or services, shall be subject to the Terms and Conditions.
I.7. User Submissions
1. While VTech desires to receive feedback from consumers, unless specifically requested by VTech in writing, please do not send VTech any creative or original concepts, ideas, materials or products, or confidential or proprietary information. All comments, feedback, ideas, suggestions or other information submitted or offered to VTech by e-mail or otherwise (collectively "User Submissions") shall be and remain VTech's property. Any such disclosure or offer of any User Submissions shall constitute an assignment to VTech of all worldwide rights, titles and interest in all intellectual properties in the User Submissions. Thus, VTech will own exclusively all such rights, titles and interests in any User Submissions, and shall not be limited in any way in its use, commercial or otherwise, of any User Submissions. VTech is and shall be under no obligation to maintain any User Submissions in confidence, to make any payment for any Submissions, or to respond to any User Submissions. You agree not to use the Learning Lodge Navigator for any illegal or immoral purpose.
You agree that you will not send or post any User Submissions that are subject to any third party proprietary rights (including rights of privacy or rights of publicity), unless you have a formal license or permission from the rightful owner to post the material in question and to grant VTech the license referred to in paragraph I.7.1. above. VTech reserves the right (but shall have no obligation) to decide whether User Submissions comply with the content requirements set out in the Terms of Use and may remove such User Submissions without prior notice and at VTech’s sole discretion.
I.8. User restrictions
1. VTech grants you permission to access and use the Learning Lodge Navigator, subject to the following express terms, and you agree that your failure to adhere to any of these terms of use shall constitute a breach of contract on your part:
(1) you agree not to distribute any part of or parts of the Learning Lodge Navigator, including but not limited to any textual or other content submitted to the Learning Lodge Navigator by users in any medium without the prior written authorization of VTech;
(2) you agree not to alter or modify any part of the Learning Lodge Navigator;
(3) you agree not to (or attempt to) circumvent, disable or otherwise interfere with any security related features of the Learning Lodge Navigator or features that (i) prevent or restrict use or copying of Learning Lodge Navigator content or (ii) enforce limitations on use of the Learning Lodge Navigator or the content accessible via the Learning Lodge Navigator;
(4) you agree not to use the Learning Lodge Navigator for any commercial use, without the prior written authorization of VTech;
(5) you agree not place content in the field of pornography, containing discrimination, slander, defamation and/or any provocation, exchange of abuse or incitement to hatred, (disproportionately) infringes on the privacy and personal life of a natural person or that can be assumed to be in any other way illegal;
(6) You agree not to collect or harvest any personal data of any user of the Learning Lodge Navigator (and agree that this shall be deemed to include VTech’s account names);
I.9. Intellectual Property Rights
1. The Learning Lodge Navigator is owned by VTech and protected by copyright, trademarks and/or other proprietary rights. All intellectual or industrial property rights to the Learning Lodge Navigator and (other) content made available such as analyses, designs, trademarks, documentation, reports, animations, testing modules, video and/or photo material, as well as preparatory material for this, as well as the system of collected works which can be considered a database, are vested solely in VTech or its licensors. Except as specifically set forth herein, VTech retains all right title and interest in all the contents and underlying software of the Learning Lodge Navigator, or made available therein. You are not allowed to remove or to alter any indication of copyrights, trademarks, trade names or other intellectual or industrial property rights from the Learning Lodge Navigator, including indications of the confidential nature and non-disclosure of the material.
- It is our policy to terminate account privileges of any user who repeatedly infringes the copyright rights of others upon receipt of proper notification to VTech by the copyright owner or the copyright owner's legal agent. Without limiting the foregoing, if you believe that your work has been copied and posted in the Learning Lodge Navigator in a way that constitutes copyright infringement, please provide the following information to our copyright agent: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed; (iii) a description of where the material that you claim is infringing is published in the Learning Lodge Navigator; (iv) your address, telephone number, and email address; (v) a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (vi) a statement by you that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. I.10. Resale of Product
Our Internet operations are established to grant non-exclusive, non-sublicensable, non-transferable, personal and perpetual license for end customers to install free or non-free software and software applications to end-use customers via the Learning Lodge Navigator only. We do not sell downloadable software via the Internet to customers nor do we license software and/or software applications to users who intend to sub-license, re-sell or export the software and/or software applications.
I.11. Limitation of Liability
- VTech makes every effort to ensure the high quality of the content of the Learning Lodge Navigator. Despite the due care it exercises in compiling the information VTech does not accept responsibility or liability for the functions incorporated into the Learning Lodge Navigator and does not guarantee the accuracy, suitability or comprehensive nature of the information, nor does it guarantee that the Learning Lodge Navigator is at all times error-free or that defects are corrected.
- The content and software provided through the Learning Lodge Navigator is provided "as is" and VTech makes no warranty or representation, either express or implied, as to its use, availability, accuracy or performance. As a user you assume all risks and responsibilities for its use or non-use and VTech makes no representation that the content appearing on or downloaded via Learning Lodge Navigator is compatible for your computer or free from errors or viruses. No VTech employee, agent or representative is authorized to modify or amend this warranty. Nor does the information provided by VTech through the Learning Lodge Navigator made available by VTech release the user from the responsibility of having to examine the suitability of this information and/or software for the object envisaged by the user.
- The information published in the Learning Lodge Navigator does not necessarily reflect VTech’s views. VTech may at any time and at its own discretion change or withdraw any information or downloadable software programs made available through the Learning Lodge Navigator. VTech is not liable for the consequences of changing or withdrawing information in the Learning Lodge Navigator.
- VTech disclaims all other warranties, either expressed or implied with respect to the Learning Lodge Navigator and the content therein. VTech reserves the right to alter or remove, or delete the content published in the Learning Lodge Navigator or suspend or terminate your use in any way, at any time, for any reason, without prior notification, and will not be liable in any way for possible consequences of such changes.
- You acknowledge, by your use of the Learning Lodge Navigator:
(1) that your use of the Learning Lodge Navigator is at your sole risk;
(2) that you assume full responsibility for all costs associated with all necessary servicing or repairs of any equipment you use in connection with your use of the Learning Lodge Navigator; and
(3) that VTech, to the extent permitted by law, shall not be liable for any damages of any kind related to your use of or inability to use the Learning Lodge Navigator, including without limitation, failure of performance, error, omission, interruption, computer virus, or network or internet failure, or including without limitation indirect, special compensatory or consequential damages, lost profits, loss of data and/or loss of or damage to property whether the alleged liability is based on contract, tort, negligence strict liability or any other basis, even if VTech has been advised of the possibility of such damages, except that this condition shall not prevent claims against VTech for loss or damage arising from VTech's breach of the Terms and Conditions or negligence or fraud by VTech or its employees;
(4) that VTech's aggregate liability to you in connection with this agreement between VTech and you shall not exceed £500 GBP
I.12. Termination
1. You understand that your acceptance of the Terms and Conditions will constitute a license agreement between you and VTech (Agreement). You may terminate the agreement between VTech and you at any time. If you fail to comply with any of the Terms and Conditions, VTech at its sole discretion acting reasonably, without notice to you may terminate the agreement between VTech and you. VTech shall not be liable to you or any third party for the termination of the agreement.
2. VTech may terminate this Agreement at any time and may do so immediately without notice, and accordingly deny you access to the Learning Lodge Navigator if in VTech's sole discretion you fail to comply with any term or provision of this Agreement.
I.13. Severability
If any one or more of the provisions of the Terms and Conditions, or their application in any circumstance, is held invalid, illegal or unenforceable in any respect for any reason, the validity, legality and enforceability of that term or condition in any other respect and the remaining provisions of the Terms and Conditions shall not in any way be impaired.
I.14. Waiver
VTech’s failure to exercise or enforce any right under or provision of the Terms and Conditions shall not constitute a waiver of such right or provision.
I.15. Consent to Electronic Communications
When you use the Learning Lodge Navigator or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices in the Learning Lodge Navigator. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing
I.16. Statutory Rights
The Terms and Conditions do not affect your statutory rights (if appropriate) as a consumer.
I.17. Entire Agreement
The provisions and conditions of these Terms and Conditions constitute the entire agreement between you and VTech related to the installation and use of the Learning Lodge Navigator and supersedes any prior agreements or understandings not incorporated herein. In the event that any inconsistencies exist between the Terms and Conditions and any future published Terms and Conditions or understanding, the last published Terms and Conditions shall take precedence.
I.18. Choice of Law and Forum
The Terms and Conditions shall be governed and construed in accordance with the laws of The Netherlands. Any dispute arising out of or relating to the Terms and Conditions or your access or use of the Learning Lodge Navigator will be subject to the non-exclusive jurisdiction of the courts of London, The United Kingdom.
II. PRIVACY STATEMENT
VTech is committed to protecting the privacy of users of the Learning Lodge Navigator. For information on how information is collected, used, or disclosed by VTech in connection with your use of the Learning Lodge Navigator, please consult our below privacy statementwhich is incorporated into this Terms and Conditions.
To help us achieve our goal of providing the highest quality (downloadable) product and services, we use information from our interaction with you and other customers. We attach considerable importance to protecting your privacy and data supplied by you. Because we respect your privacy, we have procedures to ensure that your personal information is handled in a respectable manner.
We believe that it is important to inform you about our procedures regarding our processing of your personal information. This privacy statement (“Privacy Statement”) explains what kind of information we collect, the purpose for which we collect and use the information, how it is handled, with whom it may be shared and what choices you have regarding our use of your information. This Privacy Statement applies to the use of the Learning Lodge Navigator. By using the Learning Lodge Navigator or through registration via the Learning Lodge Navigator, you grant us permission to process (your) personal data that you have provided to us in accordance with the provisions of this Privacy Statement. We therefore advise you to read it carefully.

Please be aware of the fact that, in order to process your order, VTech may share your personal data with and transfer your data to its affiliates located in the EU, the USA and Hong Kong and billing companies located in the EU, USA and Hong Kong. Even though, according to the European Commission, the USA and Hong Kong do not provide an adequate level of protection of personal data, all companies in question will handle your personal data with care and in the same manner as we do, will not share your personal data with other parties and the parties referred to above have privacy policies as strict as our own privacy policy.
II.2 Object of the Learning Lodge Navigator
VTech’s operations include granting license for end users to install e-books, games and related (downloadable) software. Through the Learning Lodge Navigator we wish to inform its visitors about the (downloadable) services VTech offers. Learning Lodge Navigator contains public sections, which are accessible to everyone, and private sections. You can visit the public sections anonymously to find out more about VTech and the electronic products we offer through the Learning Lodge Navigator. In order to purchase an/or use the downloadable products provided by VTech through the Learning Lodge Navigator you need to register. Using your email address and a password of your choice, you may access your account online at any time to add delete or change some of the information retained in your account. The alternative to having a registered account is being a “non-registered user”. As a non-registered user, you do not have the benefit of ordering VTech’s (downloadable) products via the Internet.
II.3 Collected personal information
1. Information you provide to us - We receive and store any information you submit us via the Learning Lodge Navigator or give us in any other way. You can choose not to provide certain information but then you may not be able to take advantage of many of our features. By simple usage of the Learning Lodge Navigator or through registration thereon, you grant us permission to process (your) personal data, which have been provided to us via the Learning Lodge Navigator in accordance with the provisions of the Privacy Statement. Should you decide to register, personal data that we may collect, store and use are for instance the following: name, e-mail address, gender, birth date. In sending us personal data online, you accept the risk that third parties may be able to intercept, misuse or alter it. Do not submit information that you do not want VTech to access. Please note, however, that if you do not submit the information required for registration, you will not be granted permission to use the Learning Lodge Navigator and to download the software provided through the Learning Lodge Navigator.
2. Automatic information – We use certain tools that allow us to collect, store and analyse information about your use of the Learning Lodge Navigator. These so called automatic data collection tools collect certain standard information that your browser sends to our server such as your browser type and language, access times, IP-address, user-agent string and click stream behaviour. Except perhaps for the IP (Internet Protocol) address, no personal data is collected of users of the Learning Lodge Navigator who are not logged in. It should be noted that, in general, your identity cannot be traced through IP addresses. We do not ascertain who uses what IP address when, meaning that we do not retrace your identity using this data. Your IP address will only enable us to determine the name of your internet access provider or business network and potentially your country location.
1. Special personal data - We do not and will not register special personal data concerning a person’s religion or philosophy of life, race, political persuasion, health and sexual life or personal data concerning trade union membership.
2. VTech does not process or store billing information. To complete a payment transaction within the Learning Lodge Navigator users will be directed to third party websites. VTech does not own, control or operate such linked sites, and is not responsible for the privacy policies or practices of such linked sites. The personal data you choose to provide to or that is collected by these third parties (such as credit card or PayPal information) is not covered by the Privacy Statement. Privacy policies and practices for such linked sites may differ from our privacy policy and practices. Your access and use of such linked sites is entirely and solely at your own risk. We urge you to read the privacy policies of such linked sites before disclosing your personal information on such sites.
II.4 Purposes of the collection of personal information
1. Personal data are collected to provide information and services to you, and to allow VTech to (i) analyze and monitor consumer and customer activity; (ii) promote and support VTech products; (iii) to keep the products and services offered through the Learning Lodge Navigator available for you in a clear, orderly and direct manner (iv) develop a knowledge base regarding the Learning Lodge Navigator users and customers (v) to correspond with you. This means that we only collect and use your personal data for the benefit of our business operations and to offer you better service.
- Each registered user has the choice of receiving announcements and promotions from us via e-mail. You will receive promotional email messages from us only if you have agreed to receive them by having the box for agreeing to email communication checked when (i) entering your registration and (ii) changing your settings at Account Settings after registration. Additionally each time you receive an email message from VTech, you will be given the opportunity to no longer receive email communication from VTech and to subscribe from our mailing list. If you choose to unsubscribe we will stop sending you email messages. To help us make email communication more useful and interesting, we may receive a conformation when you open our email messages if your computer supports such capabilities.
II.5 Sharing of personal information
1. When we ask for your personal information, it is so that we can provide a (downloadable) product or service to you. This may require us to share information with our business partners to enable us to process your order.
2. The data that VTech collects from you will be transferred to, and stored at, a server outside the European Economic Area ("EEA") in the USA. It may also be processed by staff operating outside the EEA who work for VTech or for one of VTech partners. Such staff may be engaged in, among other things, the fulfilment of your order, the processing of your payment details and the provision of support services. For example, if you purchase a downloadable product through the Learning Lodge Navigator, like any other retailer we will have to provide your credit card information to our credit card processor and authenticator for payment purposes. To improve the products and services offered, VTech may share data collected through the Learning Lodge Navigator with business partners such as designers and may furnish data to parties that provide support services for the Learning Lodge Navigator. By submitting your personal data, you agree to this transfer, storing or processing. We will take all steps reasonably necessary to ensure that your data is treated securely and in accordance with the Privacy Statement and Personal Data Protection Act.
3. We may use third-party advertising companies to serve ads on our behalf. These companies may employ cookies and action tags (also known as single pixel gifs or web beacons) to measure advertising effectiveness. Any information that these third parties collect via cookies and action tags is completely anonymous.
4. We may be required to disclose personal information without prior notice in response to law enforcement activity or other governmental request, to enforce its contract or property rights, due to a sale or merger of one or more of our assets, or when otherwise required by law or when necessary to protect ourselves. Information we collect may also be transferred in connection with any sale or merger of the company or any division or business line of the company to which the information relates.
II.6 Do-not-share list

II.7 Data collection tools
1. We may use "pixel tags"(also known as "tracking pixels" or "web beacons") which are small graphic files or other data collections tools that allow us to monitor the use of the Learning Lodge Navigator. These data collection tools enable us to collect technical and statistical data about your use of the Learning Lodge Navigator. Technical and statistical data are the IP address, time of visit, user agent string, browser type, monitor size etc. Data obtained in this manner is purely for our own use. The use of data collection tools is industry standard technology used by most companies.
2. As explained before one of the ways in which we may use pixel tags is through a third-party service provider to serve ads on our behalf across the Internet. They may collect anonymous (other than the IP address of your computer) information about your visits to the Learning Lodge Navigator, and your interaction with our products and services.
II.8 Storage
Once you decide to place an order you will need to become a registered user. If you choose to become a registered user, your personal information will be saved on a server that is located in the USA to facilitate your future purchases via the Learning Lodge Navigator.
II.9 Security
VTech has taken the following appropriate technical and organisational measures to prevent the loss of personal data or any kind of unlawful processing. The data processed through the Learning Lodge Navigator is stored on a server. This server is adequately protected against any unlawful use by third parties, such as alterations of data.
II.10 Retention period
VTech does not retain personal data in a form in which the person in question can be identified any longer than required for the objectives for which it is collected and then processed.
II.11 Request to access
You have a right to access your personal information. If you are a registered user, you may exercise this right by visiting the "Account Settings" section of the Learning Lodge Navigator. From this link, you can view, update or delete certain of your personal information from our database. You can also choose to send us your access request by regular post, attention of The Marketing DepartmentVTech Electronics Europe PLC Napier Court, Abingdon Science Park, Abingdon, Oxfordshire, OX14 3YT , NAME, consumer_services@vtech.com.
II.12 Request for removal or correction
1. If your name, postal address or other personally identifiable information changes, you may update, correct or omit the relevant information by visiting the "Account Settings" section of the Learning Lodge Navigator.”
2. Anyone may at all times withdraw their permission and request that their data be removed. Upon request, VTech will immediately (or at least as soon as possible) remove the data that was required for registration. As a consequence of such a request for removal of your personal data, we are (technically) forced to terminate your Learning Lodge Navigator registration account, which means that you will not be able to use the Learning Lodge Navigator from that moment on. Furthermore, all agreements you have concluded with VTech including but not limited to your licenses to install and use VTech Software on compatible hardware products will be considered terminated In order for a request for removal (or additional) correction to be carried out it is necessary that you state the data used for registration. We will contact you through the email address you provided upon registration. Send any requests for removal or correction to consumer_services@vtech.com.
3. The data provided by you may also be removed at the initiative of VTech. VTech may, for instance, decide to do so when it is notified by a customer that the latter no longer wishes to make use of the products and/or services offered by VTech.
II.13 Right to object
You have the right to object if the processing of your personal data takes place on the ground that this processing is necessary for the legitimate interests of VTech or a third party. You can register an objection on the basis of this ground in connection with our particular personal circumstances by using the following email address consumer_services@vtech.com VTech will judge within four weeks after receipt of the objection is well founded. If that is the case, VTech will end the processing immediately. In exchange for the handling of the objection, VTech may charge a £ 4,50 GBP fee. If the objection appears to be well founded VTech will then return the fee.

We encourage parents and guardians to spend time with their children using the Learning Lodge Navigator and to be familiar with the different features the Learning Lodge Navigator has to offer. The Learning Lodge Navigator is not directed to children under the age of 18. If you are under the age of 18, you should review the Privacy Statement with your parent/guardian to make sure you and your parent/guardian understand it.
